General Sales Conditions

Shipping and handling conditions:

• Ex Works
• Average delivery time for Switzerland: 1 day
• Average delivery time for the United States and Canada/Europe: 2-3 days
• Average delivery time for Asia/Australia/Africa: 4-5 days
• Standard shipping & handling costs; within Switzerland 70 CHF per shipment.
• Standard shipping & handling costs outside Switzerland 120 CHF per shipment (up to 990g).
• Only handling fees will be charged if using customer’s carrier account. In such case all details related (shipping account number, shipping instructions, etc.) must be visible on the purchasing order.

Payment conditions:

• 30 days from date of invoice for all orders < 10'000 CHF
• 30% non-refundable upfront payment and 70% upon delivery for all orders > 10'000 CHF
• All bank fees and currency conversion charges are to be paid by client
• In the event of late payment, SpiroChem AG reserves the right: (i) to suspend deliveries and/or cancel any of its outstanding obligations; and (ii) to charge a penalty interest of 9 % on all unpaid invoices

Exchange rate fluctuation clause:

• SpiroChem AG reserves the right to adjust prices on the date the invoice is issued if the exchange rate USD/CHF or EUR/CHF (as applicable) on that date differs by more than 2% from the exchange rate applied on the date of the order confirmation.
• In addition SpiroChem AG reserves the right to adjust the prices on all overdue invoices if the exchange rate differs by more than 2% from the exchange rate applied on the date of invoicing.

Claims:

• Open and inspect immediately
• Returns will not be accepted without prior authorization
• Claims have to be done within ten (10) days after reception of the goods.
